These Terms and Conditions outline the agreement between papmall\u00ae\nand you, the Supplier, regarding your participation in the Suppliers Program. By joining the Suppliers Program, you\nagree to comply with these Terms and Conditions.<\/p>\n\nAs used in this Agreement, &#8220;we,&#8221; &#8220;us,&#8221; and &#8220;papmall\u00ae&#8221; means the applicable papmall\u00ae Contracting Party and\nany\nof its applicable Affiliates, and &#8220;you&#8221; means the applicant (if registering for or using a Service as an\nindividual),\nor the business employing the applicant (if registering for or using a Service as a business) and any of its\nAffiliates. Capitalized terms have the meanings given to them in this Agreement.\n<h2>COMMISSION STRUCTURE<\/h2>\nSuppliers will provide papmall\u00ae with wholesale pricing for bulk orders. Wholesale pricing will be communicated\nseparately and may be subject to change at papmall\u00ae&#8217;s discretion.\n<h2>ORDER FULFILLMENT<\/h2>\n<p style=\"padding-left: 15px;\">a) papmall\u00ae will process orders, including shipping and delivery, for products purchased by Buyers.<\/p>\n<p style=\"padding-left: 15px;\">b) papmall\u00ae shall fulfill orders placed by Buyers within a reasonable timeframe, subject to availability of\nProducts and any lead times communicated by papmall\u00ae.<\/p>\n\n<h2>STOCK AND INVENTORY<\/h2>\n<p style=\"padding-left: 15px;\">a) papmall\u00ae retains direct ownership and management of all stock and inventory related to the Products offered\nfor sale through Suppliers.<\/p>\n<p style=\"padding-left: 15px;\">b) Suppliers acknowledge that papmall\u00ae bears all risks associated with inventory management, including but not\nlimited to procurement, storage, and obsolescence.<\/p>\n<p style=\"padding-left: 15px;\">c) Suppliers shall not engage in any activities that may affect papmall\u00ae&#8217;s inventory management processes,\nincluding but not limited to altering product listings, overselling, or misrepresenting stock availability.<\/p>\n<p style=\"padding-left: 15px;\">d) papmall\u00ae reserves the right to adjust inventory levels, discontinue Products, or implement inventory\nmanagement strategies at its sole discretion, without prior notice to Suppliers.<\/p>\n<p style=\"padding-left: 15px;\">e) This Stock and Inventory provision emphasizes papmall\u00ae&#8217;s direct ownership and management of stock, along\nwith\nthe associated inventory risks, and shall be interpreted and enforced accordingly.<\/p>\n\n<h2>PRODUCT REPRESENTATION<\/h2>\n<p style=\"padding-left: 15px;\">a) papmall\u00ae shall have full control over all aspects of product representation, including but not limited to\nproduct descriptions, images, videos, and other content related to the Products.<\/p>\n<p style=\"padding-left: 15px;\">b) Suppliers acknowledge that papmall\u00ae may create, modify, or update product content at its sole discretion to\nensure accuracy, consistency, and compliance with papmall\u00ae&#8217;s branding and marketing standards.<\/p>\n<p style=\"padding-left: 15px;\">c) Suppliers shall not independently create or modify product content without prior written authorization from\npapmall\u00ae.<\/p>\n<p style=\"padding-left: 15px;\">d) Suppliers shall promptly notify papmall\u00ae of any inaccuracies, errors, or discrepancies in product content\nand\nshall cooperate with papmall\u00ae to rectify such issues in a timely manner.<\/p>\n<p style=\"padding-left: 15px;\">e) papmall\u00ae reserves the right to take legal action against Suppliers for any unauthorized use or modification\nof\nproduct content that violates papmall\u00ae&#8217;s intellectual property rights or damages papmall\u00ae&#8217;s reputation.<\/p>\n<p style=\"padding-left: 15px;\">f) This Product Representation clause shall remain in effect during the term of this Agreement and survive its\ntermination.<\/p>\n\n<h2>BRAND RELATIONSHIP<\/h2>\nSuppliers are not authorized to enter into agreements or make commitments on behalf of papmall\u00ae. Any\npartnerships\nor collaborations must be approved by papmall\u00ae in writing.\n<h2>RETURN AND REFUND<\/h2>\n<p style=\"padding-left: 15px;\">a) papmall\u00ae shall directly handle all returns, exchanges, and refund processes for Products sold.<\/p>\n<p style=\"padding-left: 15px;\">b) papmall\u00ae reserves the right to determine the eligibility of returns, exchanges, or refunds based on its\npolicies and the condition of the returned Products.<\/p>\n<p style=\"padding-left: 15px;\">c) Suppliers shall not independently process returns, exchanges, or refunds for Products sold through papmall\u00ae\nwithout explicit authorization from papmall\u00ae.<\/p>\n<p style=\"padding-left: 15px;\">d) This Return and Refund Policy is an integral part of this Agreement and shall be interpreted and enforced in\nconjunction with all other terms and conditions herein.<\/p>\n\n<h2>PAYMENT TERMS<\/h2>\n<p style=\"padding-left: 15px;\">a) papmall\u00ae shall collect payment upfront from customers for all Products sold papmall\u00ae.<\/p>\n<p style=\"padding-left: 15px;\">b) Suppliers acknowledge and agree that papmall\u00ae is solely responsible for processing payments from end-users,\nincluding but not limited to credit card transactions, electronic payments, and any other forms of payment\naccepted\nby papmall\u00ae.<\/p>\n<p style=\"padding-left: 15px;\">c) This Payment Processing provision shall be interpreted and enforced in conjunction with all other terms and\nconditions of this Agreement.<\/p>\n\n<h2>TERMINATION<\/h2>\npapmall\u00ae reserves the right to terminate a Supplier&#8217;s participation in the program at any time for any reason,\nincluding but not limited to violation of these Terms and Conditions, fraudulent activity, or failure to meet\npayment\nobligations.\n<h2>MODIFICATION OF TERMS<\/h2>\npapmall\u00ae reserves the right to modify these Terms and Conditions at any time without prior notice. Suppliers\nwill\nbe notified of any changes, and continued participation in the Suppliers Program constitutes acceptance of the\nmodified Terms and Conditions.\n<h2>GOVERNING LAW<\/h2>\nThese Terms and Conditions shall be governed by and construed in accordance with the laws of Hong Kong. Any\ndisputes\narising out of or related to these Terms and Conditions shall be resolved exclusively by the courts of Hong Kong.\n\n<p>By participating in papmall\u00ae&#8217;s Suppliers Program, you acknowledge that you have read, understood, and agree to\nabide by these Terms and Conditions. If you have any questions or concerns, please contact papmall\u00ae&#8217;s support\nteam\nfor assistance.<\/p>\n<h2>INTELLECTUAL PROPERTY<\/h2>\nOwnership: papmall\u00ae, the licensor that allows papmall\u00ae or its Service provider to own, license, and\ncontrol\nall Intellectual Property on the papmall\u00ae Platform and in respect of Materials on the papmall\u00ae Platform.\npapmall\u00ae fully reserves the right to enforce its Intellectual Property Right allowed by law.\n<h2>LIMITATION ON LIABILITY<\/h2>\nIN NO EVENT WILL PAPMALL\u00ae, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR\nDIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE,\nOR\nINABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES OR ANY\nSERVICES\nOR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL,\nCONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL\nDISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL,\nLOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF\nFORESEEABLE.\n\nTHE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.\n\n<p>The term \u201cAffiliate\u201d referred to herein, is an entity that, directly or indirectly, controls, or is\nunder\nthe control of, or is under common control with papmall\u00ae, where control means having more than fifty percent\n(50%)\nvoting stock or other ownership interest or the majority of voting rights of such entity.<\/p>\n<h2>COMPANY INFORMATION<\/h2>\n<p><strong>PAPMALL LIMITED.<\/strong><\/p>\n\n<p>Company Registration Number: 3226277<\/p>\n\nRegistered Office Address: Unit 1411, 14\/Floor, Cosco Tower, 183 Queen&#8217;s Road Central, Sheung Wan, Hong Kong\n\n<\/div>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t\t\t\t<\/div>\n\t\t","protected":false},"excerpt":{"rendered":"<p>Home Terms &amp; Conditions Welcome to papmall\u00ae&#8217;s Suppliers Program!
